In the course of business, organizations are often faced with the challenge changes in the constituent documents. This occurs due to the change of the company name, legal address, when changing the head, changes in the composition of participants, decrease or increase of the authorized capital and in other cases.

All changes become valid only after the state registration in the registering body.

The obligation to timely notify the registration authority to amend the articles of association lies with the organization. Organizations are obliged within two months to amend its statutes (articles of incorporation – for commercial organizations, acting only on the basis of the Treaties) changes and (or) additions and submit them for state registration, in the case of change of name, a change of ownership of the property or changing the composition of the organization members.

When organizational change location, an organization within ten working days of the change of location must send a notice to the registering body in shape, established by the Ministry of Justice.

at change of name, own name, patronymic of the individual entrepreneur, his residence, individual entrepreneur in a month shall apply to the registration authority for the relevant amendments to the certificate of state registration of individual entrepreneur.

When violation of the terms of the registration authority notification amending the articles of association, Organizations and individual entrepreneurs shall be liable according to the Republic of Belarus to the current legislation.

To make changes to the constituent documents of individual entrepreneurs and organizations are required to submit to the registration authority duly executed documents in accordance with the current legislation of the Republic of Belarus.

The registration authority not later than three working days, following the day of submission of notifications, submitted to the Ministry of Justice information about changing the location of the organization, appointment (replacement) head (another person, authorized in accordance with the constituent documents to act on behalf of the organization) for inclusion in the Unified State Register of Legal Entities and Individual Entrepreneurs.
